TERMS OF PAYMENT - Unless otherwise stipulated in advance by Vernell Electronics, Inc., all goods are to be paid for at the time of shipment.

METHODS OF PAYMENT - Vernell Electronics, Inc. accepts Visa, Mastercard, Discover, and American Express. We also accept cashier's checks and money orders, made payable to Vernell Electronics, Inc.; wire transfers and Western Union cash transfers. We do not accept COD orders. Established dealer accounts may pay with company check only after written agreement by Vernell Electronics, Inc.. All funds in U.S. Dollars only.

DELIVERY - Delivery schedules are approximate only. VERNELL ELECTRONICS, INC. will make every reasonable effort to deliver products on time. However, VERNELL ELECTRONICS, INC. will not be liable for late or lost shipments, nor for any loss of use or revenue resulting from these delays.

FORUM SELECTION - Client agrees that should any issues arise resulting in litigation, these issues shall be resolved according to the laws of the State of Florida, with venue being proper in Manatee County.

USABILITY - The buyer understands that Vernell Electronics, Inc. does not make any warranties in respect to the product, either express or implied, including implied warranties of merchantability or fitness for a particular purpose, except as expressly provided in this agreement. If any labor, repair or parts replacement is required because of accident, negligence, misuse, theft, vandalism, fire, water or peril; or because of conditions outside of specifications including but not limited to extreme weather, improper storage, excessive exposure to dirt and sand, excessive vibration or shock or by consumer attempted repair or modification or by any cause other than normal use, the warranty and maintenance obligations provided herein shall not apply. Opening detector (other than battery compartment) or tampering with silver security tape will, without exception, void warranty.

LIMITATION OF LIABILITY - Vernell Electronics, Inc. shall not be liable for any special, incidental, or consequential damages or for loss, damage or expense directly or indirectly arising from customer's use of or inability to use the equipment either separately or in combination with other equipment, or for personal injury or loss or destruction of other property, or from any other cause.

RETURNS - Vernell Electronics, Inc. will accept NO returns on special order items. All customized detector purchases are final and non-refundable. Stock items may be returned within 10 days of the receipt-accompanied by a dated proof of receipt--with the assessment of a restocking fee. Applicable restocking fees shall be determined at the time of sale, but shall be no less than 20% of the original cost of the item. Defective items may be returned within the warranty period specified at the time of sale, and will be repaired or replaced at Vernell Electronics, Inc.'s discretion. Vernell Electronics, Inc. reserves the right to provide comparable replacements, should the original item no longer be available.

WARRANTY COVERAGE - The buyer understands that hardware carries a limited warranty, as specified, against physical defect for repair / replacement according to Vernell Electronics, Inc.'s discretion. The buyer agrees that it is the buyer's responsibility to notify Vernell Electronics, Inc. as to problems and defects in the hardware, and to return defective products with a copy of the invoice before expiration of the warranty. Should the product prove defective in workmanship or material, the buyer's sole remedy shall be repair or replacement, at Vernell Electronics, Inc.'s discretion. Under no circumstances shall Vernell Electronics, Inc. be liable for any loss or damage, direct, consequential or incidental arising out of the inability to utilize the product. The buyer further understands that service work carries no warranty, either written or implied.

Warranty Limitations - This warranty in no way guarantees the compatibility of products with other hardware or software. Any repair costs incurred due to incompatibilities or defects caused by other hardware or software shall be paid for by the buyer and the buyer further agrees to compensate Vernell Electronics, Inc. according to the service rates stipulated at the time of service, for any service work performed on the buyer's behalf. Further, the buyer understands that this warranty is void if:

1. The product is damaged by accident, improper use, or negligence.
2. The silver security tape has been removed or otherwise tampered with.
3. Any part of the detector has been opened or removed, other than the battery compartment
4. Attempts have been made to repair/alter the product by anyone other than those appointed by Vernell Electronics, Inc.
5. The serial number, Vernell Electronics, Inc. stock number, and / or any ID labels are removed or tampered with.

Vernell Electronics, Inc. makes no warranty other than the ones set forth herein. Such warranty is in lieu of all other warranties, expressed or implied warranty of merchantability of fitness for a particular purpose, and such constitutes the only warranty made with respect to the goods and services listed herein. The buyer, by placing an order, hereby signifies acknowledgment and acceptance of all the terms listed herein.
